U.S. Listing Supports Titan\u2019s Plan To Re-establish U.S. Domestic Production of Natural Flake Graphite, a Key Component in the Rare Earths & Critical Minerals Ecosystem<\/h2>\n\n

GOUVERNEUR, N.Y.<\/strong>, Oct. 30, 2025 (GLOBE NEWSWIRE) \u2014 Titan Mining Corporation (TSX: TI, OTCQB: TIMCF)<\/strong> (\u201cTitan\u201d or the \u201cCompany\u201d), an existing zinc concentrate producer in upstate New York and an emerging natural flake graphite producer \u2014 a key component in the broader rare earths and critical minerals ecosystem \u2014 today announced that it has received pre-clearance from the NYSE American LLC (\u201cNYSE American\u201d) to move forward with its planned U.S. stock exchange listing.<\/p>\n\n

This initiative supports Titan\u2019s broader strategy to rebuild secure, North American supply chains for critical materials, most notably natural flake graphite, a key input for the energy-transition and defense sectors.<\/p>\n\n

As announced on October 27, 2025, Titan\u2019s Board has approved a consolidation on the basis of one new Common Share for every 1.5 existing Common Shares (the \u201cConsolidation\u201d). The Consolidation will align Titan with U.S. market listing standards and will not affect any shareholder\u2019s proportional ownership. Titan\u2019s Common Shares are expected to begin trading on a post-Consolidation basis on the TSX and OTCQB when markets open on November 3, 2025.<\/p>\n\n

Following the Consolidation, final approval of the NYSE American and the filing effectiveness of the Company\u2019s Form 40-F registration statement with the United States Securities and Exchange Commission, Titan expects its Common Shares to begin trading on the NYSE American under the symbol \u201cTII\u201d<\/strong>.<\/p>\n\n

Trading on the OTCQB under the symbol \u201cTIMCF\u201d<\/strong> will continue until the commencement of trading on the NYSE American. Trading on the Toronto Stock Exchange (the \u201cTSX\u201d) will continue under the symbol \u201cTI\u201d<\/strong>.<\/p>\n\n

Titan anticipates the listing on NYSE American to be complete by the third week of November 2025 (subject to trading, regulatory approval, and government shutdown measures impacting SEC filings).<\/p>\n\n

Share Consolidation Details<\/strong><\/h3>\n\n

The Consolidation has been approved by the TSX, and a related bulletin is scheduled for issuance by the TSX today. Following the Consolidation, the new CUSIP number for the Common Shares will be 88831L202<\/strong> and the new ISIN number will be CA88831L2021<\/strong>.<\/p>\n\n

As part of the Consolidation, the 137,234,657 currently issued and outstanding Common Shares will be consolidated to 91,489,771 post-Consolidation Common Shares. No fractional shares will be issued. Each fractional interest less than one-half will be rounded down, and each fractional interest at least one-half will be rounded up. The exercise price and number of Common Shares issuable under any outstanding stock options and warrants will be proportionately adjusted upon completion.<\/p>\n\n

On or about the effective date, the Company\u2019s transfer agent, Computershare Investor Services<\/strong>, will send a letter of transmittal to registered shareholders providing instructions for exchanging their certificates. A sample letter of transmittal is also available on the Company\u2019s profile on SEDAR+<\/strong>.
