Michael Saylor<\/strong> has brainwashed<\/span> MicroStrategy (MSTR) investors<\/strong> into believing their outstanding convertible notes<\/strong> are risk<\/strong><\/span> free<\/strong><\/span> and MARA Holdings (MARA)<\/strong> investors believe the same.<\/p>\n\n

The conversion prices<\/strong> of these notes<\/strong> allow the debt holders<\/strong><\/span> to convert<\/strong><\/span> to shares<\/strong> if the share price appreciates<\/span><\/strong> to the upside<\/strong><\/span>… however, if the share price<\/strong> of MSTR<\/strong> and\/or MARA declines<\/span><\/strong>, they are under no<\/span> obligation<\/strong> to convert<\/strong><\/span> the notes<\/strong>.<\/p>\n\n

At maturity<\/strong>, or even before<\/span> maturity<\/strong> if certain undisclosed<\/span> conditions take place<\/span><\/strong> (such as Bitcoin declining below<\/span><\/strong> a certain price), the note holders can demand full repayment in cash<\/strong><\/span>.<\/p>\n\n

MSTR’s software business<\/strong> is very small<\/strong><\/span>, and MARA’s Bitcoin mining operations<\/strong> aren’t<\/strong><\/span> consistently<\/strong><\/span> profitable<\/strong><\/span>.<\/p>\n\n

MARA<\/strong> released their 4Q results<\/strong> this evening, but it is difficult<\/strong><\/span> to find an income statement<\/strong>, balance sheet<\/strong>, statement of cash flows<\/strong>, shares outstanding<\/strong>, etc. It doesn’t<\/strong><\/span> look like they even filed a 10-K<\/strong> yet. What is going on here???<\/p>\n\n

MARA<\/strong> reported a 4Q profit<\/span><\/strong>, but without<\/strong><\/span> a 10-K<\/strong> being filed they are making it difficult<\/strong><\/span> (possibly on purpose) for investors to see if all of the profit<\/strong><\/span> came from their increasingly<\/span> less<\/span> liquid<\/span> Bitcoin<\/strong> being revalued higher<\/strong><\/span>.<\/p>\n\n

At some point, all Bitcoin<\/strong> held by MSTR<\/strong> and MARA<\/strong> could be sold<\/strong><\/span> to pay off<\/strong><\/span> the convertible note holders<\/strong>. The remaining<\/span> balance<\/strong> after their Bitcoin<\/strong> gets sold<\/strong><\/span> would most likely be paid in severely dilutive<\/span> stock issuances<\/span><\/strong> at share prices far below<\/span><\/strong> today’s closing prices.<\/p>\n\n

Although their “Bitcoin yield”<\/strong> calculations take into account assumed dilution<\/strong><\/span> if convertible note holders<\/strong> convert<\/strong><\/span> into shares<\/strong>, these conversion prices<\/strong> are typically at 40% premiums<\/strong><\/span> above<\/strong><\/span> the share price<\/strong> when the notes<\/strong> are issued<\/strong><\/span>, and conversion<\/strong> can only be forced<\/strong><\/span> by the company if the price per share<\/strong> is 30% above<\/strong><\/span> those conversion prices<\/strong>.<\/p>\n\n

MSTR<\/strong> and MARA refuse<\/span><\/strong> to publicly disclose<\/strong><\/span> the full contractual terms<\/strong> of these convertible debt instruments<\/strong><\/span>.<\/p>\n\n

MARA<\/strong> included the following disclaimer in their earnings presentation<\/strong> published this evening:<\/p>\n\n

“BTC Yield represents the percentage change period-to-period of the ratio between the Company’s bitcoin holdings and its Assumed Fully Diluted Shares Outstanding. Assumed Fully Diluted Shares Outstanding refers to the aggregate of the Company’s actual shares of common stock outstanding as of the end of each period plus all additional shares that would result from the assumed conversion of all outstanding convertible notes, exercise of all outstanding warrants, and settlement of all outstanding restricted stock units and performance stock units. Assumed Fully Diluted Shares Outstanding is not calculated using the treasury method and does not take into account any vesting conditions (in the case of equity awards), the exercise price of any warrants or any contractual conditions limiting convertibility of convertible debt instruments.”<\/strong><\/p>\n\n

We have discovered many<\/span> companies<\/strong> using exactly the same<\/span> disclaimer<\/strong>, including Genius Group Limited (NYSE American: GNS)<\/strong>, which recently announced that it achieved<\/strong><\/span> a “1,649% BTC Yield in Q4 2024”<\/strong>.<\/p>\n\n

Michael Saylor<\/strong> is behind all of these companies doing exactly the same<\/strong><\/span> thing. Saylor<\/strong> has turned Bitcoin<\/strong> into a Ponzi<\/strong><\/span> that goes way beyond<\/strong><\/span> Tether printing<\/span> USDT<\/strong> out of thin air<\/strong><\/span>!<\/p>\n\n

There are multiple<\/span> layers<\/strong> of Bitcoin Ponzinomics<\/span><\/strong> all built on top<\/strong><\/span> of one another… and this is nothing<\/strong><\/span> compared to the hundreds of social media influencers<\/strong> conducting<\/strong><\/span> Solana meme coin rug pulls<\/span><\/strong> on a daily basis, stealing<\/strong><\/span> millions of dollars<\/strong><\/span> from their followers!<\/p>\n\n

When companies issue<\/strong><\/span> debt<\/strong><\/span> to buy<\/span> Bitcoin<\/strong> or when people buy<\/span> Bitcoin<\/strong> through an ETF<\/strong>, they are removing<\/span> Bitcoin<\/strong> from the market<\/strong> that could otherwise be used as a digital currency<\/strong> in decentralized<\/span> transactions<\/strong>.<\/p>\n\n

It is these decentralized<\/span> transactions<\/strong> that give Bitcoin<\/strong> value! If all Bitcoin<\/strong> is held<\/strong><\/span> by “investors”<\/strong> and no longer<\/strong><\/span> gets used<\/strong><\/span> as a currency<\/strong>… it has no<\/span> value<\/strong>! This isn’t<\/strong><\/span> what Satoshi envisioned<\/span><\/strong>!<\/p>\n\n
