What is going on here???<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\"><strong>Michael Saylor<\/strong> has <strong><span style=\"color:#2980b9;\">brainwashed<\/span> MicroStrategy (MSTR) investors<\/strong> into believing their <strong>outstanding convertible notes<\/strong> are <span style=\"color:#e74c3c;\"><strong>risk<\/strong><\/span><span style=\"color:#2980b9;\"><strong> free<\/strong><\/span> and <strong>MARA Holdings (MARA)<\/strong> <strong>investors<\/strong> believe the same.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\">The <strong>conversion prices<\/strong> of these <strong>notes<\/strong> allow the <span style=\"color:#e74c3c;\"><strong>debt holders<\/strong><\/span> to <span style=\"color:#27ae60;\"><strong>convert<\/strong><\/span> to <strong>shares<\/strong> in the event that the <strong>share price <span style=\"color:#2980b9;\">appreciates<\/span><\/strong> to the <span style=\"color:#27ae60;\"><strong>upside<\/strong><\/span>&#8230; however, if the <strong>share price<\/strong> of <strong>MSTR<\/strong> and\/or <strong>MARA <span style=\"color:#e74c3c;\">declines<\/span><\/strong> they are under <strong><span style=\"color:#e74c3c;\">no<\/span> obligation<\/strong> to <span style=\"color:#27ae60;\"><strong>convert<\/strong><\/span> the <strong>notes<\/strong>. At the time of <strong>maturity<\/strong>, or even <strong><span style=\"color:#2980b9;\">before<\/span> maturity<\/strong> if <strong><span style=\"color:#e74c3c;\">undisclosed<\/span> conditions <span style=\"color:#27ae60;\">take place<\/span><\/strong> (like<strong> Bitcoin <span style=\"color:#e74c3c;\">declining below<\/span><\/strong> a certain price), they can <span style=\"color:#27ae60;\"><strong>demand <\/strong><\/span>to be<span style=\"color:#27ae60;\"><strong> repaid cash<\/strong><\/span> in <span style=\"color:#2980b9;\"><strong>full<\/strong><\/span>. <strong>MSTR&#8217;s software business<\/strong> is <span style=\"color:#e74c3c;\"><strong>very small<\/strong><\/span>, and <strong>MARA&#8217;s Bitcoin mining operations<\/strong> <span style=\"color:#e74c3c;\"><strong>aren&#8217;t <\/strong><\/span><span style=\"color:#2980b9;\"><strong>consistently<\/strong><\/span><span style=\"color:#e74c3c;\"><strong> <\/strong><\/span><span style=\"color:#27ae60;\"><strong>profitable<\/strong><\/span>. <strong>MARA<\/strong> reported a <strong>4Q <span style=\"color:#27ae60;\">profit<\/span><\/strong> but <span style=\"color:#e74c3c;\"><strong>without<\/strong><\/span> a <strong>10-K<\/strong> being filed they are making it <font color=\"#e74c3c\"><b>difficult <\/b><\/font>(on purpose) for investors to see if <span style=\"color:#27ae60;\"><strong>all of the profit<\/strong><\/span> came from their <strong><span style=\"color:#27ae60;\">increasingly<\/span> <span style=\"color:#e74c3c;\">less <\/span><span style=\"color:#2980b9;\">liquid<\/span> Bitcoin<\/strong> being <span style=\"color:#27ae60;\"><strong>revalued higher<\/strong><\/span>.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\">At some point, all <strong>Bitcoin<\/strong> held by <strong>MSTR<\/strong> and <strong>MARA<\/strong> will be <span style=\"color:#e74c3c;\"><strong>sold<\/strong><\/span> to <span style=\"color:#27ae60;\"><strong>pay off<\/strong><\/span> the <strong>convertible note holders<\/strong>. The <strong><span style=\"color:#2980b9;\">remaining<\/span> balance<\/strong> after all of their <strong>Bitcoin<\/strong> gets <span style=\"color:#e74c3c;\"><strong>sold<\/strong><\/span> will most likely be paid in <strong><span style=\"color:#e74c3c;\">severely dilutive<\/span> stock <span style=\"color:#27ae60;\">issuances<\/span><\/strong> at <strong>share prices <span style=\"color:#e74c3c;\">95% below<\/span><\/strong> today&#8217;s closing prices.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\">Although their <strong>&#8220;Bitcoin yield&#8221;<\/strong> calculations take into account <span style=\"color:#e74c3c;\"><strong>assumed dilution<\/strong><\/span> if <strong>convertible note holders<\/strong> <span style=\"color:#27ae60;\"><strong>convert <\/strong><\/span>into <strong>shares<\/strong>, these <strong>conversion prices<\/strong> are typically at <span style=\"color:#2980b9;\"><strong>40% premiums<\/strong><\/span> <span style=\"color:#27ae60;\"><strong>above<\/strong><\/span> the <strong>share price<\/strong> when the <strong>notes<\/strong> are <span style=\"color:#27ae60;\"><strong>issued<\/strong><\/span>, and <strong>conversion<\/strong> can only be <span style=\"color:#e74c3c;\"><strong>forced<\/strong><\/span> by the company if the <strong>price per share<\/strong> is <span style=\"color:#27ae60;\"><strong>30% above<\/strong><\/span> those <strong>conversion prices<\/strong>.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\"><strong>MSTR<\/strong> and <strong>MARA <span style=\"color:#e74c3c;\">refuse<\/span><\/strong> to <span style=\"color:#27ae60;\"><strong>publicly disclose<\/strong><\/span> the full <strong>contractual terms<\/strong> of these <span style=\"color:#e74c3c;\"><strong>convertible debt instruments<\/strong><\/span>.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\"><strong>MARA<\/strong> included the following disclaimer in their <strong>earnings presentation <\/strong>published this evening, <strong>&#8220;BTC Yield represents the percentage change period-to-period of the ratio between the Company&rsquo;s bitcoin holdings and its Assumed Fully Diluted Shares Outstanding. Assumed Fully Diluted Shares Outstanding refers to the aggregate of the Company&rsquo;s actual shares of common stock outstanding as of the end of each period plus all additional shares that would result from the assumed conversion of all outstanding convertible notes, exercise of all outstanding warrants, and settlement of all outstanding restricted stock units and performance stock units. Assumed Fully Diluted Shares Outstanding is not calculated using the treasury method and does not take into account any vesting conditions (in the case of equity awards), the exercise price of any warrants or any contractual conditions limiting convertibility of convertible debt instruments.&#8221;<\/strong><\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\">We have <strong><span style=\"color:#27ae60;\">discovered many<\/span> companies<\/strong> using <strong><span style=\"color:#2980b9;\">exactly the same<\/span> disclaimer<\/strong> including <strong>Genius Group Limited (NYSE American: GNS)<\/strong> which recently announced that it <span style=\"color:#27ae60;\"><strong>achieved<\/strong><\/span> a <strong>&#8220;1,649% BTC Yield in Q4 2024&#8221;<\/strong>.<\/span><\/span><\/p>\n\n<p><span style=\"font-size:14px;\"><span style=\"font-family:Arial,sans-serif;\">Why <span style=\"color:#27ae60;\"><strong>buy<\/strong><\/span> <span style=\"color:#f1c40f;\"><strong>gold mining\/exploration stocks<\/strong><\/span> if you can get <strong>1,649% BTC yield<\/strong> in a single quarter?
